What is a Registered Agent / Registered Office?

Almost every state has enacted similar provisions in their own Business Corporation Act which require a Registered Agent or Office for every corporation, LLC, or Limited Partnership which does business in their state.  The purpose of these provisions is to ensure that each company has an office where it may be found, and a person at that office on whom service can be effected for any notice or process in connection with litigation.  The Secretary of State and other government agencies usually send any other official communications such as annual reports and tax notices to this address.

Section 5.01 of the RMBCA says that " ... each corporation must continuously maintain ... (1) a registered office ... and (2) a registered agent."  In general, failure to maintain a registered agent results in the loss of the "good standing" of the corporation with the state.  This affects your ability to do business in the state, can result in corporate contracts being deemed void or voidable, and can possibly result in personal penalties or fines on the officers and directors of the corporation.

How long is the order process ?

We can set up your Registered Agent account in minutes. Simply call us and we will take all of the appropriate information over the telephone and can give you the appropriate Registered Agent/Office information for the forms which you plan to submit to the state.


How am I billed for Registered Agent services?

USRA will bill you for registered agent services as they are initiated. The bill for second and subsequent years will come directly to you from National Registered Agents, Inc (NRAI).

If you have multiple units in various states or units set up at different times, you can have great flexibility in how you are billed. We can bill you on the anniversary date of set up for each unit or one consolidated annual bill with any partial-year units appropriately prorated.


Why can't I serve as my own Registered Agent?

You certainly can! However, most companies prefer to use a professional registered agent. Service of process is always sent via Federal Express to the person you indicate, the office is never on vacation and you are more likely to avoid the expensive and time-consuming problems which can result from a default judgment when service is not responded to within a timely manner.

We've had hundreds of horror stories where companies who had named a relative or employee who didn't recognize the importance of service of process and it wound up costing thousands of dollars in avoidable expense to overturn default judgements.
