INCORPORATION:
Incorporating in Canada is similar to incorporating in the
United States; corporations are usually created under a given
province or territory. Canada has 10 provinces and 3 territories.
However, Canada differs in allowing Federal (or Dominion)
corporations as well. At least one Director must be resident
in Canada and provide his residence address, with the exception
of New Brunswick.
QUALIFICATION:
If a corporation is carrying on business it must register
in the jurisdiction where it is doing business. When a corporation
seeks to do business in a different jurisdiction other than
the one in which it was created, it is treated as a foreign
corporation and must qualify to do business, generally by
filing an Application of Authority. In Canada these corporations
are referred to as Extra-Provincial or Extra-Territorial.
The filing for these corporations is called an Application
for Extra-Provincial License. Accompanying documents include
a good standing certificate and certified copies of charter
documents from the home jurisdiction.
The extra-provincial/territorial company is not required
to have any directors who are resident in Canada. The company
does need a registered agent. Once your corporation is extra-provincially/extra-
territorially registered it must still be maintained in the
home jurisdiction.
TRADE NAMES:
In the Canadian provinces and territories trade names are
called Business names. They can easily be registered, by filing
a Business Registration form in the province/territory where
the Business Name will be used.
NUANS (Newly Upgraded Automated Name Search): Before submitting
a corporate name to the appropriate provincial government
in Canada, the name must be searched. The NUANS report must
be submitted with the Articles. IBCF will, of course arrange
to have the NUANS search performed for you.
