Formation or Continuation in Anguilla We recently reported on the use of Delaware, Nevada and Wyoming as jurisdictions to redomesticate existing companies. A must jurisdiction to consider if you wish to redomesticate and plan to remain in an “offshore” jurisdiction is the island of Anguilla. Anguilla is a politically stable and democratic island in the Caribbean and a British Overseas Territory. Its International Business Companies Act of 1994 and amended in 2000 is quite comparable to the Delaware corporate law and wonderfully flexible. In addition, Anguilla has a state of the art corporate registry. Documents required are: (1) a copy of the original certificate of incorporation (2) a copy of the company’s constitutional documents (the equivalent of the Articles of Incorporation.) (3) a Certificate of Good Standing that the company is in good standing. (4) Copy of the director’s resolution authorizing the continuation Anguilla also has excellent privacy standards. A roster of Directors and shareholders is NOT filed at the corporate registry; it must be maintained at the registered office of the company but is not open to public inspection.
